By accessing or using WireCal (“Service”), operated at wirecal.com and related properties, you agree to these Terms of Service. If you do not agree, do not use the Service.
The Service
WireCal provides software for scheduling, client relationship features, and related tools for small businesses. Features may change over time. Some capabilities depend on third-party services (for example, payment processing).
Accounts
You are responsible for safeguarding your account credentials and for activity under your account. You must provide accurate information and comply with applicable laws when using the Service.
Payments
Billing for subscriptions and payments involving your customers may be processed by third parties such as Stripe. Those transactions are also governed by the applicable terms and policies of those providers.
WireCal does not mark up card processing or other payment processing fees charged by Stripe or another applicable payment processor. Those fees are set and collected by the processor according to its pricing and terms and are separate from WireCal’s subscription fees.
Sales tax. WireCal does not calculate, itemize, or remit sales tax for you. The price you set for a service or booking is the amount processed for the customer unless you use another compliant approach outside the Service. If you need to collect sales tax, you may include it in that amount—for example, if you would normally quote $100 plus tax, you might set your service price at $110 (or another total that reflects tax), since that figure is what gets charged. Tax rules vary; this is not tax or legal advice.
Subscription fees are charged in advance and, to the extent permitted by law, are non-refundablefor the current billing period (monthly or annual), even if you cancel before the period ends.
Service availability, outages, and bugs
The Service is provided on an “as is” and “as available” basis. You acknowledge that software may contain bugs, incomplete features, or errors; that the Service may be unavailable or experience outages, downtime, delays, or losses of data (including during maintenance or failures of us or our vendors); and that we do not guarantee continuous, secure, or error-free operation.
The Service may degrade, slow down, or otherwise fail to perform as expected. You are responsible for verifying bookings and communicating with your customers through appropriate channels. We are not responsible for missed or unfulfilled appointments, or for any resulting loss of revenue, business, profits, or goodwill, to the extent permitted by law, including when caused by technical issues with the Service or our vendors.
We are not responsible for any loss or harm arising from interruptions, defects, outages, bugs, or inaccuracies in the Service, or from your reliance on the Service, except where prohibited by law.
Disclaimer of warranties
To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, WireCal and its operators, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service, whether or not we have been advised of the possibility of such damages.
Our total liability for any claim arising out of these terms or the Service is limited to the greater of (a) the amount you paid us for the Service in the last one (1) month before the claim or (b) fifty U.S. dollars (US$50), except where liability cannot be limited under applicable law.
Indemnity
You agree to defend and indemnify us against claims arising from your use of the Service, your content or customer relationships, or your violation of these terms or applicable law, to the extent permitted by law.
Termination
We may suspend or terminate access to the Service at any time, with or without notice, for conduct we believe violates these terms or harms the Service or others. You may stop using the Service at any time.
Changes
We may update these terms by posting a revised version on this page. Continued use after changes constitutes acceptance of the updated terms.
Governing law
These terms are governed by applicable law, without regard to conflict-of-law principles. Mandatory consumer or statutory protections in your jurisdiction remain in effect where required.
